Welcome to BiedFabriek, a procurement platform operated by DAXT B.V. ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the BiedFabriek platform, including our website, services, and applications (collectively, the "Platform").

BiedFabriek facilitates connections between buyers and suppliers but does not guarantee that:
All contracts, agreements, and transactions between buyers and suppliers are formed directly between those parties. BiedFabriek is not a party to these agreements and bears no liability for their performance or breach.
You retain ownership of all content you submit to the Platform, including RFQs, bids, messages, company information, and other materials ("User Content").
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of operating and improving the Platform.
BiedFabriek and all related trademarks, logos, software, and content are owned by DAXT B.V. or our licensors. You may not use our intellectual property without prior written permission.
If you provide feedback, suggestions, or ideas about the Platform, you grant us the right to use and implement them without compensation or obligation to you.
Access to certain features of BiedFabriek requires a paid subscription. Subscription plans, pricing, and features are described on our website and may change with notice.
Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees.
Subscription fees are generally non-refundable except as required by law or at our sole discretion. You may cancel your subscription at any time to prevent future charges.
If you sign up for a free trial, you will be charged the subscription fee after the trial period ends unless you cancel before the trial expires.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAXT B.V. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR €100, WHICHEVER IS GREATER.
We are not responsible for the actions, content, or conduct of other users on the Platform. You use the Platform and interact with other users at your own risk.
We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. We may suspend or terminate the Platform for maintenance, updates, or other reasons without liability.
You agree to indemnify, defend, and hold harmless DAXT B.V., its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:

Upon termination, all rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, and limitation of liability) will continue to apply.

Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of the Netherlands.
